WEBVTT 1 00:00:00.000 --> 00:00:00.990 Louis Taylor: 2. 2 00:00:03.210 --> 00:00:14.300 Louis Taylor: Good evening, everyone I'd like to call to order this December fifteenth, 2,023 Special Board meeting. I'm gonna pass it to Director Douglas to call Role. Please. 3 00:00:14.390 --> 00:00:19.900 Kelly Douglas (she/her/hers): Thank you. Chart. Taylor present Vice chair, Wyatt. 4 00:00:20.850 --> 00:00:21.620 Kirsten Wyatt: Here. 5 00:00:22.140 --> 00:00:23.320 Kelly Douglas (she/her/hers): Director Vidal. 6 00:00:23.690 --> 00:00:25.919 Maegan Vidal: here, director, sloop 7 00:00:26.340 --> 00:00:27.170 Kelly Sloop: here. 8 00:00:27.340 --> 00:00:28.080 Kelly Douglas (she/her/hers): you 9 00:00:28.760 --> 00:00:32.580 Louis Taylor: and hopping right in. I guess I'm gonna give the mic over to 10 00:00:32.590 --> 00:00:55.300 Pat McGough: Pat Mcguff to lead us. Lead us down the down the pathway. Alright, thank you very much. First of all. Thank you all for making this special meeting happen. Timing was pretty critical on one of these items. We believe that waiting for the next Board meeting 11 00:00:55.300 --> 00:01:17.390 Pat McGough: would have potentially put the project in jeopardy of being completed on time. So thank you all. Before I turn this over to Remo. I just want to identify the 2 items that we're looking at today. The first one is the new Primary School Street Improvement intergovernmental agreement 12 00:01:17.450 --> 00:01:21.839 Pat McGough: with the city of Wilsonville. These are 13 00:01:22.100 --> 00:01:26.439 Pat McGough: kind of typical and standard. When we build a new primary school. 14 00:01:26.750 --> 00:01:32.740 Pat McGough: the other one is the the second resolution. 23, 15 00:01:32.870 --> 00:01:39.490 Pat McGough: 2023 dash O, 3 is boiler replacement at Boone's Ferry Primary school. 16 00:01:39.530 --> 00:01:54.800 Pat McGough: and just as a side note III wanna say, we had one boiler at Boons Ferry completely failed this week. So this is timely. We are getting it put back together. But 17 00:01:54.940 --> 00:02:01.969 Pat McGough: this is quite timely. So with that, I'm gonna turn it over to Mister Douglas. 18 00:02:03.990 --> 00:02:10.630 Remo Douglas: Hello, Board. Thank you again for for holding this meeting for us. As Pat mentioned, we have these 2 items. 19 00:02:10.870 --> 00:02:22.029 Remo Douglas: Speaking to the first one is the intergovernmental agreement with the city of Wilsonville. On this is a standard part of their process to 20 00:02:22.240 --> 00:02:48.269 Remo Douglas: get a guarantee from a developer that they will complete the street improvements that are required as part of the project. There is no new work associated with this decision all of the work is already contracted with our general contractor, which been fully publicly bid gone through all appropriate processes. And so this is just a follow through to for the district in the city to agree. Yes, these are the street improvements. 21 00:02:48.270 --> 00:02:59.590 Remo Douglas: The district is committed to completing them, and, in fact, there's a portion of them where as future development happens on the other side of the street, we may be able actually 22 00:02:59.620 --> 00:03:06.220 Remo Douglas: get some funding back for certain improvements that we're putting in that are not required only for the school. 23 00:03:06.600 --> 00:03:15.899 Remo Douglas: So there's no sort of added risk or cost. Associated with this decision. And, in fact, there's the potential to actually recoup some funds. 24 00:03:17.320 --> 00:03:24.090 Remo Douglas: So it's it's simply an agreement to complete the street improvements related to the new school project 25 00:03:24.210 --> 00:03:27.310 Remo Douglas: that the city's allowed to require in a developer 26 00:03:28.090 --> 00:03:38.310 Pat McGough: or a general background. We entered into similar agreements for Meridian Creek, Middle school and Lowry primary school. 27 00:03:38.410 --> 00:03:47.909 Remo Douglas: Yeah. And this agreement was reviewed by the City Council recently as noted in your packet. It was approved as as part of their consent. Agenda there. 28 00:03:48.870 --> 00:03:58.510 Remo Douglas: and the the hope is to get the the authorization here, to then finalize and execute that agreement as a staff of the city and district. 29 00:03:59.740 --> 00:04:08.620 Louis Taylor: Thank you for that debriefing. and I guess I'll turn it over for a motion. And to get us started. 30 00:04:09.990 --> 00:04:18.410 Kirsten Wyatt: I move to adopt resolution number 2023, 4 for the intergovernmental agreement for the new primary school in Wilsonville. 31 00:04:19.589 --> 00:04:20.680 Kelly Sloop: I'll second. 32 00:04:21.740 --> 00:04:34.979 Louis Taylor: all right, or do we have any questions or or topics for discussion other than what we've read and seen and feels like. It's a pretty normal procedure, so I don't have any questions myself. 33 00:04:38.400 --> 00:04:54.350 Kathy Ludwig: so no questions, so I will turn it over to call the vote to Oh, Dr. Ludwig, just a remote. Could you speak to which which of our attorneys helped us to put the documents together that it was 34 00:04:54.800 --> 00:05:02.860 Remo Douglas: yeah. James Walker, with Miller Nash is our construction attorney. And he was directly involved with me. 35 00:05:02.900 --> 00:05:06.679 Remo Douglas: City staff and I went back and forth a couple of times. 36 00:05:06.690 --> 00:05:25.880 Remo Douglas: Came to kind of general terms, and then we each sent the document that we drafted to both city and district legal counsel. They reviewed, we interacted back and forth. I checked in, of course, with Pat and Coo we all looked at it together, agreed mutually. That it was reasonable. 37 00:05:26.360 --> 00:05:30.520 Remo Douglas: And so yeah, it's been thoroughly bedded by both parties. 38 00:05:30.990 --> 00:05:35.530 Kathy Ludwig: Thank you. We just just like that on the record, and reflected in this recording. Yes. 39 00:05:35.970 --> 00:05:46.069 Louis Taylor: Gotcha, I figured once it went to the city for a for approval in their consent, agenda that there must have been a the leg work already done to put it in there, so 40 00:05:46.320 --> 00:05:50.399 Louis Taylor: alright, I'll turn it over direct to Douglas to call the vote, please. 41 00:05:50.500 --> 00:05:52.339 Kelly Douglas (she/her/hers): Thank you. Chair Taylor. 42 00:05:52.660 --> 00:05:53.490 Louis Taylor: Aye. 43 00:05:53.660 --> 00:05:54.990 Kelly Douglas (she/her/hers): vice chair, Wyatt. 44 00:05:55.040 --> 00:05:57.290 Kirsten Wyatt: I director, slip. 45 00:05:57.590 --> 00:05:59.550 Kelly Sloop: Aye, Director Vidal. 46 00:05:59.760 --> 00:06:01.689 Maegan Vidal: Aye, thank you. 47 00:06:03.020 --> 00:06:10.579 Louis Taylor: All right. Next one is the proposed resolution. Is that correct? 48 00:06:11.780 --> 00:06:12.600 Pat McGough: Yes. 49 00:06:12.850 --> 00:06:14.059 Remo Douglas: that is correct. 50 00:06:14.250 --> 00:06:31.599 Remo Douglas: This resolution is in support of the contract for the replacement of the boilers at Boons Ferry primary school. This is a project that has been identified as part of the 2,019 bond and as Pat noted, it's our forecasting has proven correct. 51 00:06:31.620 --> 00:06:38.179 Remo Douglas: They have begun to have problems more regularly in the last couple of years, including this week. 52 00:06:38.560 --> 00:06:50.040 Remo Douglas: And so it is an appropriate time this next summer. To go ahead and replace them. It'll be replaced with 3 modern, highly efficient boilers. 53 00:06:50.180 --> 00:07:00.890 Remo Douglas: That will improve our resilience, our ability to withstand one or 2 going down and still hold school while also reducing energy. Use 54 00:07:00.940 --> 00:07:06.660 Remo Douglas: on a regular basis. This is kind of a win win and win sort of project. 55 00:07:06.790 --> 00:07:11.249 Remo Douglas: As well as fulfilling our stewardship obligation to the community. 56 00:07:11.320 --> 00:07:14.370 Remo Douglas: For maintaining these great facilities that we have 57 00:07:14.440 --> 00:07:25.190 Remo Douglas: we did go through the full public public bid process contemplated all of the parts and pieces the advertisements outreach through a variety of outlets. 58 00:07:25.280 --> 00:07:44.830 Remo Douglas: We do, of course, recall recent update to our contract bidding policy, Djc, around the use of Cbas in this case the contract was well below the threshold established by the board for that so we did not engage in that process in this instance. 59 00:07:44.980 --> 00:07:54.219 Remo Douglas: But we we did see a larger number of bids than we've had in recent years. There does seem to be an indication that the industry is slowing. 60 00:07:54.480 --> 00:08:14.209 Remo Douglas: It hasn't. Hasn't, you know, gone down to really low bad levels. I'm at this stage. But what what it is meaning is, we're getting more bids, which helps us have more confidence in how competitive of pricing we're getting so in this case we receive bids from 6 firms. Which is a good thing. 61 00:08:14.340 --> 00:08:22.609 Remo Douglas: So the the price is well within the budget that we have available in the program to handle that 62 00:08:22.680 --> 00:08:29.099 Remo Douglas: and we're hoping to get approval to execute that agreement here with the board today. 63 00:08:29.390 --> 00:08:47.790 Remo Douglas: Remote. Can you talk a little bit about the lead time? That's why the urgency about we couldn't wait another month. Yeah. Yeah. So as you've heard from us. Sort of broken record the last few years. Many of the larger pieces of equipment. 64 00:08:47.830 --> 00:09:02.379 Remo Douglas: Particularly things with computer chips in them are taking longer and longer to get. You may recall that we're opening our new primary school in the fall of 25 instead of the fall of 24, largely because we won't have electrical panels. 65 00:09:02.770 --> 00:09:12.439 Remo Douglas: And so boilers are another thing that is impacted by this. We are confident our ability to do this project this summer, doing the Board meeting now. 66 00:09:12.460 --> 00:09:19.960 Remo Douglas: But waiting to the end of January or February. It could bring it into question. Which is why we asked for this special meeting today. 67 00:09:21.940 --> 00:09:22.940 Louis Taylor: Alright. 68 00:09:23.180 --> 00:09:29.549 Louis Taylor: Do we have a motion on the table to 69 00:09:29.720 --> 00:09:30.950 Louis Taylor: approve 70 00:09:32.050 --> 00:09:34.450 Louis Taylor: the capital construction 71 00:09:35.100 --> 00:09:41.540 Louis Taylor: of excuse me, the capital bond for the boiler replacement. 72 00:09:41.570 --> 00:09:47.789 Kirsten Wyatt: I move to adopt resolution number 202303 for the Boons ferry boiler Replacement project. 73 00:09:48.520 --> 00:09:49.650 Maegan Vidal: I can't. 74 00:09:51.250 --> 00:09:55.199 All right, open it up for questions or comments, anybody. 75 00:09:57.980 --> 00:10:00.229 Louis Taylor: Well, I'll just say thank you for 76 00:10:00.440 --> 00:10:03.130 giving us the detail and 77 00:10:03.350 --> 00:10:14.080 Louis Taylor: and thank you for being proactive in shepherding and taking care of our schools, because we know that a lot of times, you know, you're trying to do this stuff last minute, and it 78 00:10:14.110 --> 00:10:16.039 Louis Taylor: can put you in a situation. And 79 00:10:16.120 --> 00:10:19.500 Louis Taylor: the fact that you guys have eyes on 80 00:10:19.600 --> 00:10:33.320 Louis Taylor: our schools in that manner gives me confidence. And it it actually allows me to feel good in the work that you do, because I'm not worried about any surprises. And so I guess, Mo, most importantly, I wanna thank the both of you for your diligence 81 00:10:33.350 --> 00:10:37.100 Louis Taylor: and you're continued kind of, I guess. 82 00:10:37.450 --> 00:10:41.989 Louis Taylor: foresight, and looking to the future of the needs of the district. So 83 00:10:42.680 --> 00:10:44.399 I don't want that to go unsaid. 84 00:10:44.930 --> 00:10:45.820 Pat McGough: Thank you. 85 00:10:47.930 --> 00:10:53.320 Louis Taylor: Other than that. I'll turn it over to Director Douglas to take us through the vote. 86 00:10:53.340 --> 00:10:55.559 Kelly Douglas (she/her/hers): Thank you. Trot Taylor. 87 00:10:56.210 --> 00:10:58.529 Kelly Douglas (she/her/hers): Aye, vice chair, Wyatt. 88 00:10:58.660 --> 00:10:59.620 Kirsten Wyatt: Hi. 89 00:10:59.730 --> 00:11:00.970 Kelly Douglas (she/her/hers): directive Vidal. 90 00:11:01.430 --> 00:11:03.590 Maegan Vidal: Aye, director, sloop. 91 00:11:03.760 --> 00:11:05.699 Kelly Sloop: Aye, thank you. 92 00:11:07.340 --> 00:11:20.889 Louis Taylor: All right. Well, thank you. Guys again, and and good luck with securing everything that you need to to have success in all your projects. My! My hat goes off to both of you so again, I just can't say enough. So 93 00:11:21.110 --> 00:11:34.519 Louis Taylor: If we don't have anything else. I think that kind of takes us to the end. Doctor Ludwig. Would that be fair to say, other than our next important board date means we're gonna have a work session and a regular meeting on the 20 s. So 94 00:11:35.120 --> 00:11:42.449 Kathy Ludwig: correct. This concludes our special board meeting today, and it will reconvene with the full board on January 20. Second. 95 00:11:42.720 --> 00:11:48.239 Pat McGough: Perfect. Well, then, I will go ahead and adjourn the meeting. Thank you all for coming. Thank you all very much. 96 00:11:48.300 --> 00:11:50.190 Kirsten Wyatt: Thanks. Happy New Year! 97 00:11:50.460 --> 00:11:52.260 Pat McGough: Happy New Year!
